Terms of Service

1. Acceptance of Terms

By installing or using PaydayBooks (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you ("Merchant" or "you") and PaydayBooks Inc. ("PaydayBooks," "we," or "us"), a Delaware corporation.

2. Description of Service

PaydayBooks is a Shopify embedded application that automatically synchronises Shopify Payments payout data to QuickBooks Online ("QBO") by creating SalesReceipt, RefundReceipt, and Deposit entries on your behalf. The Service requires active, valid connections to both your Shopify store and your QBO account.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter contracts on behalf of your business. The Service is intended for merchants using Shopify Payments in supported regions and QuickBooks Online.

4. Account and Authorisations

You authorise PaydayBooks to access your Shopify Payments payout data and to create, update, and read entries in your QBO account using the OAuth credentials you provide during onboarding. You are responsible for maintaining the security of your Shopify and QBO credentials. Notify us immediately at [email protected] if you suspect unauthorised access.

5. Billing and Payment

PaydayBooks offers a 14-day free trial. After the trial period, continued use requires a paid subscription billed through the Shopify App Store on your Shopify billing cycle. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' written notice.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service; (c) use the Service to infringe any third-party intellectual property rights; (d) attempt to gain unauthorised access to any part of the Service or its related systems.

7. Data Accuracy and Limitation of Liability

PaydayBooks processes data provided by Shopify and QBO. We make reasonable efforts to ensure accuracy but do not guarantee that synced entries are free from errors arising from upstream data changes, API limitations, or connectivity issues. You remain responsible for reviewing your QBO books and for any tax, accounting, or financial decisions made in reliance on synced data.

To the maximum extent permitted by applicable law, PaydayBooks' total liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the fees paid by you in the three months immediately preceding the claim or (b) one hundred US dollars (USD $100). In no event shall PaydayBooks be liable for indirect, incidental, special, consequential, or punitive damages.

8. Intellectual Property

All rights, title, and interest in and to the Service, including all software, designs, and content created by PaydayBooks, are and remain the exclusive property of PaydayBooks Inc. These Terms do not grant you any ownership rights in the Service.

9. Termination

You may cancel your subscription at any time through the Shopify App Store. Uninstalling the app removes PaydayBooks' access to your Shopify data immediately. We will delete your account data within 30 days of termination unless a longer retention period is required by law. We may suspend or terminate your access for material breach of these Terms with notice where practicable.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in English, unless you opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected]. Nothing in this section limits either party from seeking injunctive relief in a court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and notify active subscribers by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
